Terms of Service
Effective August 7, 2026
1. Agreement to Terms
These Terms of Service ("Terms") form a binding agreement between you ("Provider," "you") and [LEGAL ENTITY NAME], operator of Krewly ("Krewly," "we," "us," "our"), governing your access to and use of the Krewly platform, including the hosted business page, chat and email intake, AI-assisted quote drafting, scheduling, payment processing integrations, and related dashboards (collectively, the "Service"). By creating an account, accessing, or using the Service, you accept these Terms in full. If you do not agree, do not use the Service.
2. Eligibility and Account Registration
You must be at least 18 years old and legally able to enter into contracts to use the Service. You are responsible for providing accurate registration information, maintaining the confidentiality of your login credentials, and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.
3. Description of the Service
Krewly provides tools for independent service businesses to receive customer inquiries via chat, email, or a self-service quote form; to compute prices and proposed appointment times from a rate card you configure; to draft reply messages (in some cases using a third-party AI model to assist in matching a request to a service or in writing the reply text); to manage scheduling and calendar availability; and to facilitate payment collection through a third-party payment processor. Krewly is a software tool. We are not a party to, and assume no responsibility for, the underlying service transaction between you and your customer.
4. Your Responsibilities
You are solely responsible for:
- The accuracy of your rate card, pricing, service descriptions, availability, and business information;
- Reviewing and approving every drafted reply, quote, and booking before it is sent to a customer — no message reaches a customer without your affirmative approval, and by approving it you adopt it as your own communication;
- Holding all licenses, permits, insurance, and certifications required to lawfully perform the services you offer;
- Complying with all applicable laws, including consumer protection, advertising, tax, and data protection laws relevant to your business;
- The quality, safety, and legality of the services you actually perform for your customers;
- Any representations you make to customers, whether drafted with the assistance of the Service or written entirely by you; and
- Resolving disputes, complaints, refunds, and claims arising from your services directly with your customers.
5. AI-Assisted Features
Certain features use a third-party artificial intelligence model to (a) match an ambiguous customer message to a line item on your rate card, or (b) draft the natural-language text of a reply once price and scheduling facts have already been determined by deterministic, non-AI logic. AI-generated text may contain errors, omissions, or phrasing you would not have chosen. You are responsible for reviewing every AI-assisted draft before approving it. Krewly makes no warranty regarding the accuracy, appropriateness, or fitness of AI-generated content, and disclaims all liability for consequences arising from a draft you approved without adequate review.
6. Payments, Fees, and Deposits
Payment processing is provided through Stripe and, where applicable, Stripe Connect. Krewly is not a bank, money transmitter, or payment processor. Funds collected from your customers flow through Stripe directly to your connected account, subject to Stripe's own terms, fees, and risk controls, which you separately agree to as a condition of using Stripe. We are not responsible for delays, holds, chargebacks, reserve requirements, or account actions imposed by Stripe. Subscription fees for use of the Service, if applicable, are billed in advance on a recurring basis and are non-refundable except as required by law. You are solely responsible for determining, disclosing, and complying with any deposit, cancellation, or refund policy you offer your own customers.
7. Prohibited Conduct
You agree not to:
- Use the Service to offer illegal services or to facilitate fraud, money laundering, or deceptive pricing;
- Misrepresent your identity, licensing, insurance, or qualifications;
- Interfere with, disrupt, reverse-engineer, or attempt to gain unauthorized access to the Service or its underlying systems;
- Use the Service to send unsolicited bulk communications or to harvest customer data for purposes outside the ordinary operation of your business; or
- Upload content that is unlawful, defamatory, or infringes the rights of any third party.
We may suspend or terminate your account immediately for any violation of this section.
8. Intellectual Property
Krewly and its licensors retain all right, title, and interest in and to the Service, including its software, design, and branding. You retain all rights to your own business content (rate card, FAQs, business name, and materials you upload). You grant Krewly a limited license to host, process, and display that content solely to operate the Service on your behalf.
9. Third-Party Services
The Service integrates third-party providers, including but not limited to payment processing (Stripe), transactional and inbound email (Resend), AI language processing (Anthropic), and cloud hosting and database infrastructure. Krewly is not responsible for the acts, omissions, outages, security incidents, or policy changes of any third-party provider, and your use of features dependent on those providers is subject to their respective terms.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY SCHEDULING, PRICING, OR AI-DRAFTED OUTPUT WILL BE ACCURATE OR COMPLETE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KREWLY AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL KREWLY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE FEES YOU PAID TO KREWLY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify, defend, and hold harmless Krewly and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) the services you actually perform for your customers; (b) any dispute between you and a customer, including refund or quality disputes; (c) your breach of these Terms; (d) content you submit or approve through the Service, including AI-assisted drafts you approve; or (e) your violation of any law or the rights of a third party.
13. Termination
You may stop using the Service and cancel your account at any time. We may suspend or terminate your access to the Service, with or without notice, for violation of these Terms, non-payment, suspected fraud, or risk to the Service or other users. Sections of these Terms that by their nature should survive termination (including Sections 6, 9–12, and 14) will survive.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of [STATE/COUNTRY OF INCORPORATION], without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved through binding individual arbitration rather than in court, except that either party may bring an individual claim in small claims court. You waive any right to participate in a class action or class-wide arbitration.
15. Changes to These Terms
We may modify these Terms from time to time. We will post the updated Terms with a new effective date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
